In these Terms and Conditions ("Terms"), unless the context otherwise requires, the following definitions apply. "Company", "we", "us", or "our" means LIFENEX LTD, a merchant wholesaler operating in England and Wales, United Kingdom, with registered business address at 29 Drove Road, Weston-Super-Mare, BS23 3NN. "Customer", "you", or "your" means the business entity or sole trader placing orders or entering into wholesale supply arrangements with the Company. "Goods" means products supplied by the Company across any wholesale category channel including apparel, piece goods and notions, grocery, beer and ale, wine and distilled alcoholic beverages, chemicals and allied products, hardware, plumbing and heating equipment and supplies, furniture, farm product raw materials, and druggists sundries. "Order" means a request for Goods submitted by the Customer and accepted by the Company. "Contract" means the binding agreement formed upon Order acceptance. "Delivery Location" means the address specified by the Customer for Goods delivery. "Force Majeure Event" has the meaning set out in the Force Majeure clause below.
Headings are for convenience only and do not affect interpretation. Words importing the singular include the plural and vice versa. References to statutes include amendments, re-enactments, and subordinate legislation. References to writing include email where acknowledged by both parties. These Terms apply to all wholesale supply Contracts unless expressly varied in a signed document by authorised representatives of both parties.
These Terms constitute the entire agreement between the parties regarding wholesale supply of Goods and supersede prior understandings except fraudulent misrepresentation. The Customer acknowledges it has not relied on any statement not contained in the Contract, quotation, product specification, or these Terms. Website content, marketing materials, and oral representations are illustrative unless incorporated into written Order confirmation.
No terms or conditions set out on Customer purchase orders or other documents shall apply unless expressly agreed in writing by the Company. Order submission constitutes an offer; acceptance occurs when the Company issues order acknowledgement or commences fulfilment, whichever is earlier.
Trade accounts may be opened subject to completion of application details, credit checks, and verification of business identity including company number where applicable. The Company reserves the right to decline applications without stating reasons. Account credentials must be kept confidential; the Customer is responsible for all Orders placed under its account unless promptly reported as compromised.
The Customer warrants that information provided for account opening and regulatory verification is accurate and will notify changes within five business days. False or misleading information may result in immediate account suspension and cancellation of pending Orders.
The Company operates as a merchant wholesaler sourcing and distributing Goods to trade customers throughout the United Kingdom. Services include product sourcing, inventory allocation, order fulfilment, logistics coordination, documentation for regulated products, and account management support during standard business hours unless extended service levels are agreed.
The Company does not provide retail services to end consumers through these Terms. Customers must not represent themselves as agents of the Company unless under a separate written agency agreement.
Orders may be placed via approved channels including email to info@lifenex.guru, telephone +447446968859, written purchase order referencing account number, or other channels notified to the Customer. Orders must specify product codes, quantities, Delivery Location, and requested delivery date where applicable.
Minimum order values, case quantities, and channel-specific order multiples may apply and will be communicated in price lists or account terms. The Company may reject Orders for unavailable stock, credit limit breaches, regulatory restrictions, or suspected unlawful end use.
Prices are quoted in pounds sterling unless otherwise stated. Quotations are valid for the period stated or thirty days if unstated. Prices exclude VAT unless indicated; VAT will be applied at prevailing rates. The Company may adjust prices after quotation expiry due to supplier increases, currency fluctuation, tariffs, or regulatory levies with notice before Order acceptance where possible.
Pricing errors may be corrected before dispatch; the Company will notify the Customer who may cancel without penalty if corrected price is unacceptable. Volume discounts and promotional pricing apply only when qualifying conditions are met in full.
Unless agreed otherwise in writing, payment is due within thirty days of invoice date for approved credit accounts, or in advance for new accounts or where credit is suspended. Payment methods include BACS transfer to nominated account details on invoice, and other methods notified by the Company.
Time for payment is of the essence. Late payment accrues interest at four percent per annum above the Bank of England base rate pursuant to the Late Payment of Commercial Debts (Interest) Act 1998, plus reasonable debt recovery costs. The Company may suspend deliveries and reduce credit limits for overdue accounts without prejudice to other remedies.
Delivery dates are estimates unless guaranteed in writing. The Company will use reasonable endeavours to meet agreed windows. Delivery may be by Company vehicle, carrier, or Customer collection from designated premises by appointment.
Risk in Goods passes to the Customer upon delivery to Delivery Location or collection, whichever occurs first. Title passes when the Company receives cleared funds for the Goods and all other sums due from the Customer on any account. The Customer must store Goods marked as Company property separately until title passes.
The Customer must inspect Goods upon delivery and notify the Company in writing of visible damage, shortage, or non-conformity within two business days of delivery, or within five business days for concealed defects discoverable upon reasonable inspection. Failure to notify within these periods constitutes deemed acceptance except for latent defects not discoverable through reasonable inspection.
Photographic evidence and delivery note annotations assist claims processing. The Company will investigate valid notifications and may offer replacement, credit, or refund at its discretion consistent with statutory obligations.
Returns are accepted only with prior written Return Merchandise Authorisation specifying return reason and reference. Custom orders, perishable Goods, sealed hygiene products, and regulated Goods not faulty or mis-supplied may not be returned due to safety and regulatory constraints.
Return freight is the Customer's responsibility unless the return arises from Company error or defective Goods. Restocking fees up to fifteen percent may apply to non-defective returns accepted at Company discretion. Order cancellation before dispatch may incur administrative charges and supplier cancellation costs passed through at cost.
The Company warrants that Goods will conform to agreed specifications and be of satisfactory quality within the meaning of the Sale of Goods Act 1979 as applied to business-to-business transactions, subject to fair examination and exclusions for matters drawn to Customer attention pre-contract.
Manufacturer warranties pass through where applicable; registration may be Customer responsibility. Descriptive material including technical data sheets are provided in good faith; minor immaterial variations in batch characteristics may occur in chemicals and agricultural products within tolerance.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any liability that cannot be limited under English law. Subject thereto, the Company's total aggregate liability under or in connection with any Contract shall not exceed the price paid or payable for the Goods giving rise to the claim.
The Company shall not be liable for indirect or consequential loss including loss of profit, revenue, contract, anticipated savings, data, or goodwill. Customers should maintain appropriate insurance for business interruption and product liability in their operations.
The Customer shall indemnify the Company against losses arising from Customer breach, unlawful resale, misuse of regulated Goods, failure to hold required licences, or claims by third parties attributable to Customer acts or omissions after risk passes, except where caused by Company negligence.
Trademarks, branding, marketing materials, and proprietary channel nomenclature remain Company or licensor property. Customers may not alter labels or documentation except as permitted by law. Unauthorised use of Company intellectual property constitutes breach and may invoke legal proceedings.
Each party shall keep confidential non-public commercial information received from the other, except information public through no fault, required by law, or independently developed. Confidentiality survives termination for three years except trade secrets held indefinitely while remaining secret.
Parties shall comply with UK GDPR and Data Protection Act 2018. Personal data shared for order fulfilment shall be processed only for legitimate purposes under appropriate lawful bases detailed in the Company Privacy Policy. Data processing agreements shall be executed where required for processor relationships.
Neither party is liable for failure or delay due to events beyond reasonable control including acts of God, war, terrorism, civil unrest, epidemic, government action, strikes, utility failures, supplier collapse, or transport disruption. Affected party shall notify the other promptly and mitigate effects. If Force Majeure continues beyond sixty days, either party may terminate affected Orders without liability beyond payment for Goods delivered.
The Company may suspend or terminate accounts for payment default, breach, insolvency events, or regulatory concerns. Either party may terminate ongoing supply on thirty days written notice subject to fulfilment of outstanding Orders placed before notice unless otherwise agreed.
Termination does not affect accrued rights. Clauses intended to survive including payment, liability limits, confidentiality, indemnity, and governing law remain in force.
Parties shall attempt good faith negotiation for thirty days before formal proceedings. Optional mediation may be pursued through a mutually agreed mediator in England. Nothing prevents either party seeking urgent injunctive relief.
These Terms and Contracts are governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
The Company may update standard Terms by publishing revisions on lifenex.guru with notice to account holders. Continued Orders after effective date constitute acceptance unless Contract expressly references prior Terms version. If any provision is invalid, remaining provisions continue in full force.
Notices shall be in writing delivered by hand, recorded post, or email to registered contacts. Notices deemed received on business day delivery if hand delivered, two business days after posting if first class UK post, or on transmission if email without bounce back before 5pm UK time.
Contracts for the Sale of Goods 1999 third party rights are excluded except Company group entities enforcing payment may be designated third party beneficiaries where expressly stated. No other person has rights under Contracts (Rights of Third Parties) Act 1999.
Goods include textiles, garments, haberdashery, and related notions supplied to trade customers for retail resale or commercial use. The Customer warrants Goods will be resold in compliance with textile labelling regulations including fibre content disclosure under the Textile Products (Labelling and Fibre Composition) Regulations 2012. Flammability standards for nightwear and children's clothing must be observed in onward supply.
Orders may specify size ratios and colour assortments subject to availability. Minor shade variation between batches is industry standard and not a defect unless outside agreed tolerance documented in writing. The Customer is responsible for import duties if directing delivery outside Great Britain customs territory.
Grocery Goods are supplied in accordance with retained EU Regulation 178/2002 general food law principles, Food Safety Act 1990, and Food Information Regulations 2014 as applicable. Allergen information provided on specifications must be communicated to end consumers by the Customer. Best before and use by dates must be honoured; the Company will not accept returns of short-dated Goods ordered with knowledge of shelf life requirements.
Temperature controlled items require Customer receipt infrastructure meeting Food Standards Agency guidance. Breaks in cold chain after delivery are Customer responsibility. Lot traceability records must be retained for recall cooperation.
Alcohol supply requires valid Customer premises licence or other lawful authority under the Licensing Act 2003 for the Delivery Location. The Company may request licence copies and age verification of authorised signatories. Alcohol Wholesaler Registration Scheme obligations are met by the Company; Customers must purchase only from registered wholesalers.
Duty-paid Goods are supplied with appropriate documentation. The Customer shall not supply alcohol to under-eighteens and shall comply with local licensing conditions, Challenge 25 policies, and advertising codes. Minimum unit pricing in Scotland and Wales must be respected by Customers operating there.
Chemical Goods are classified, labelled, and packaged per UK CLP regulations. Safety Data Sheets are supplied electronically or with shipment as required. Customers must hold competent persons for storage under COSHH and dangerous goods transport regulations for onward distribution.
The Customer shall not divert restricted precursors or explosive precursors contrary to Poisons Act 1972 and related schedules. Quantity limits and end-use verification may apply. Spill containment and PPE obligations transfer upon delivery.
Hardware Goods may include CE or UKCA marked articles where legally required. Installation products must be fitted by competent tradespersons complying with Building Regulations Part G and Part L where applicable. Gas carrying components require Gas Safe registered installation.
The Company does not provide design certification for structural applications unless expressly contracted. Load ratings and compatibility charts are advisory; Customer engineers must verify suitability for project specifications.
Upholstered furniture supplied meets UK fire resistance requirements under Furniture and Furnishings (Fire) (Safety) Regulations 1988 as amended. Display labels must remain attached until sold to consumers. The Customer shall not modify fire safety components.
Flat pack assembly instructions are provided by manufacturers; missing part claims must be reported within stated windows. Large item delivery may require access suitability including stairwell dimensions notified before dispatch.
Agricultural raw materials may be subject to plant health import controls and Red Tractor or equivalent assurance schemes where stated on specification. Genetically modified content is disclosed where labelling mandates apply. Customers handling animal feed must comply with Feed Hygiene Regulation retained provisions.
Seasonal availability and weather impacts may affect harvest quality parameters within contracted grades. Sampling and analysis certificates accompany bulk commodities where agreed.
Druggists sundries include over-the-counter pharmacy lines, toiletries, and healthcare consumables not requiring prescription. General Sales List and Pharmacy medicines distinctions must be respected by Customers holding appropriate retail authorisations from General Pharmaceutical Council where required.
The Customer shall not supply medicines to persons without appropriate pharmacy supervision where law mandates. Product recalls require immediate Customer cooperation including point-of-sale notices if directed by MHRA or Company instruction.
The Company maintains records supporting traceability and regulatory compliance across all channels. Customers shall permit reasonable audit cooperation during product safety investigations. Regulatory fees or inspection costs arising from Customer misconduct are reimbursable.
Parties comply with Bribery Act 2010 and Modern Slavery Act 2015 transparency expectations. Facilitation payments and improper rebates are prohibited. Supply chain due diligence information may be requested for high-risk categories.
Customers shall not export or re-export Goods in breach of UK export control orders or sanctions regulations. End-user declarations may be required for dual-use chemicals and certain technologies embedded in hardware.
The Company maintains public and product liability insurance at commercially reasonable levels. Certificates available on request. Customers should maintain product liability and employers liability appropriate to their operations.
The Customer may not assign Contract rights without Company consent. The Company may assign to group companies or acquirers with notice.
Failure to enforce any provision is not waiver of future enforcement. Rights and remedies are cumulative.
These Terms are drafted in English. Translations provided for convenience; English version prevails in case of discrepancy.

Where trade credit is offered, the Company may request trade references, bank references, and financial statements. Credit limits are reviewed periodically and may be reduced without prior notice where payment performance deteriorates or public information suggests increased credit risk.
The Customer authorises the Company to make credit enquiries with credit reference agencies and to share payment performance data in accordance with applicable law.
Until title passes, the Customer holds Goods as fiduciary bailee. The Customer must not pledge, charge, or encumber Goods in which title has not passed. If the Customer becomes insolvent or breaches payment terms, the Company may enter premises to recover Goods upon reasonable notice where lawful.
Proceeds of resale of Goods not yet paid for shall be held in trust for the Company to the extent of outstanding sums.
Returnable pallets, crates, and specialised packaging may be subject to deposit charges invoiced separately. Deposits are refunded upon return of undamaged equipment within agreed timeframes.
Where Goods are classified as dangerous for transport under ADR regulations, delivery documentation includes transport emergency cards and proper shipping names. The Customer is responsible for onward carriage compliance including driver training, vehicle placarding, and route restrictions after delivery acceptance.
Bulk commodities may be supplied by weight or volume with industry-standard tolerances. Weighbridge tickets or metered flow records constitute prima facie evidence of quantity supplied.
In the event of manufacturer or regulatory recall, the Company will notify affected Customers promptly using contact details on file. Customers must cease distribution, isolate affected stock, and cooperate with return or destruction instructions.
Packaging waste obligations under UK producer responsibility regimes are allocated per applicable regulations. Customers receiving chemicals or WEEE-containing hardware must comply with waste electrical and electronic equipment regulations for onward disposal.
Goods supplied into Northern Ireland may be subject to additional labelling, customs, or sanitary and phytosanitary requirements. Customers directing delivery to Scotland, Wales, or Northern Ireland are responsible for compliance with devolved regulations.
Point-of-sale materials, standees, and promotional packs provided ancillary to Orders remain Company or brand owner property unless sold. Customers must display materials in accordance with brand guidelines.
The Company may subcontract warehousing, picking, packing, or carriage to vetted partners without relieving the Company of contractual obligations to the Customer.
Product specifications form part of the Contract where referenced in Order confirmation. Certificate of analysis, conformity, or origin are supplied where customary for the category.
For grocery, beverages, and druggists sundries, minimum remaining shelf life at delivery will be stated in specifications or account terms unless Customer accepts shorter life in writing for promotional clearance lines.
Chilled and frozen lines are transported in temperature-controlled vehicles where required. Temperature loggers or indicator strips may accompany shipments.
The Company seeks suppliers meeting applicable labour, environmental, and product safety standards. Customers may request reasonable due diligence summaries for high-risk categories subject to confidentiality restrictions.
Where the Customer supplies artwork, labels, or bespoke packaging designs, the Customer warrants non-infringement of third-party rights and indemnifies the Company against claims arising from use of Customer-supplied materials.
The Company may set off amounts owed by the Customer against credits or sums payable across any accounts operated by the same legal entity.
Where EDI or API ordering is enabled, technical specifications define message formats, authentication, and error handling. The Customer is responsible for accuracy of automated transmissions.
During supply shortages, the Company may allocate available stock fairly among Customers proportional to historical demand or regulatory priority.
Delivery drivers and Company personnel attending Customer sites must be provided safe access, appropriate unloading equipment where agreed, and compliance with site rules including inductions.
Pricing is confidential between parties. Most favoured customer pricing applies only where expressly agreed in signed volume rebate agreements with measurement periods and audit rights defined therein.
Parties shall preserve Order records, delivery notes, and correspondence relating to disputes until resolution plus twelve months. Electronic records maintained in ordinary course are admissible evidence subject to English law rules.
Garments are supplied with permanent labels meeting UK textile regulations. Care symbols must be preserved through retail display. Children's nightwear and costumes must be supplied and resold only where fire labelling confirms compliance.
Allergen matrices provided by the Company reflect manufacturer declarations at time of supply. Reformulations may occur; the Customer must verify labels on received stock before shelf placement.
The Company verifies premises licences using public registers and may conduct periodic re-verification. Deliveries may be refused where licence conditions prohibit the category ordered.
Customers must store chemicals according to segregation tables in safety data sheets. Restricted explosives precursors and poisons schedules require additional end-user verification.
Construction products bearing UKCA or CE marking are accompanied by declarations of performance where required under Construction Products Regulations.
Upholstered domestic seating may fall within extended producer responsibility frameworks. Information on recyclability and chemical compliance with POPs regulations is provided on request.
Plant and plant product movements may require phytosanitary certificates and pre-notification on TRACES NT for relevant commodities.
Pharmacy-only medicines are not supplied under these Terms except under separate wholesale dealer authorisation schedules where the Company holds appropriate licences.
The Company conducts customer screening against sanctions lists and may request beneficial ownership information for corporate Customers.
Supply to public bodies may require separate framework terms, transparency reporting, and social value commitments. Standard Terms apply only where not superseded by executed framework schedules.
Wholesale Customers must maintain adequate product liability insurance covering onward supply of Goods in categories subject to heightened consumer risk.
The Company may participate in industry recall networks and circulate safety alerts received from manufacturers without delay.
Batch traceability codes on invoices enable upstream investigation of quality complaints within manufacturer warranty frameworks.
Customers exporting Goods outside the United Kingdom assume importer of record obligations unless DDP terms are expressly agreed in writing.
Demonstration stock and samples are supplied under separate conditions and may not be resold where marked not for resale.
Consignment stock arrangements, where offered, are governed by supplementary consignment agreements superseding delivery and title clauses herein.
The Company may photograph pallet builds for dispute resolution; images are retained for twelve months unless longer retention is required for litigation.
Carrier claims for transit damage are lodged by the Company where the Company arranges carriage; Customer-arranged carriage claims are Customer responsibility.
Standard pallet dimensions and weight limits apply; oversized orders may incur additional handling surcharges notified before dispatch.
Holiday delivery schedules are published annually; emergency surcharges may apply for out-of-hours deliveries agreed in writing.
Customers must provide accurate VAT registration numbers and notify changes to avoid incorrect tax treatment on invoices.
Reverse charge VAT may apply to certain Goods supplied to VAT-registered Customers in specified categories per HMRC guidance.
The Company complies with Packaging Waste Regulations and provides registration details on request for Customer compliance reporting.
Wooden packaging materials meet ISPM15 standards where international movement requires heat treatment certification.
Silica gel desiccants and inner packaging for chemical lines must be disposed according to local hazardous waste rules.
Customers receiving ammonia-based cleaning products must ensure ventilation during unloading and storage away from acids.
Pressurised aerosols are transported under limited quantity provisions where applicable; storage quantities at Customer sites must respect ADR-derived storage thresholds.
Knives and bladed articles supplied as hardware must be sold in compliance with Offensive Weapons Act retail delivery verification where applicable to onward B2C sales.
Age-restricted sundries including certain solvents and corrosives require Challenge 25 policies at Customer retail points.
Farm seed treatments carrying chemical coatings must be handled using PPE specified on labels and stored in locked areas.
Wholesale Customers must maintain adequate product liability insurance covering onward supply of Goods in categories subject to heightened consumer risk.
The Company may participate in industry recall networks and circulate safety alerts received from manufacturers without delay.
